On January 25, 2022, Prodigi Kids officially became a CA Benefit Corporation making it possible for us to always be guided by our impact of raising kids with self worth, our values of serving society, and the environment in addition to profit in our decision making process.
What’s a Benefit Corporation?
The purpose of a benefit corporation is to create “general public benefit”, which is defined as a material positive impact on society and the environment.
It’s a legal structure that embeds shareholder governance into its business DNA, ensuring the business considers its impact on all its stakeholders, employees, customers, suppliers, the community, and the environment.
There are 36 states which recognize this type of business form which essentially merges the traditional for profit business corporate model with a non-profit mission model by allowing social entrepreneurs to consider interests beyond just maximizing shareholder wealth. Other examples of benefit corporations are Patagonia, Allbirds, and Kickstarter
Our Legal Obligations
Under the traditional corporate form, actions taken by the corporation that are not done to maximize profits for the benefit of its shareholders can be considered a breach of fiduciary duty of loyalty and care to shareholders..
With a Benefit Corporation, under CA Corporations Code Sections 14600 et seq., this includes special rules for Directors. The Directors and Officers are required to operate the business as a triple bottom line business considering its impact on others, the environment, and its profits. We have fiduciary duties extending beyond generating profits to doing social good without the risk of a shareholder derivative action to all our stakeholders.
